THE FIRST PARTY and THE SECOND PARTY are collectively referred to as "BOTH PARTIES", and individually referred to as "PARTIES" in advance explaining the following matters:

  1. The FIRST PARTY is the Leader of National Demand Generation Transformational – Partner I Indonesia;
  2. The SECOND PARTY is the Head of Research Center for Horticultural and Estate Crops, National Research and Innovation Agency;
  3. That the FIRST PARTY agreed to cooperate with the SECOND PARTY and the SECOND PARTY agreed to work with the FIRST PARTY to conduct Tests on the Resistance Status of the Cabbage Leaf Caterpillar Plutella xylostella (L.) against the Insecticide Spinetoram (Endure 120 SC) and Spinetoram + Methoxyphenozide (Tenano 360 SC) in Cabbage Production Center in Java Island, Indonesia
  4. Based on the above matters BOTH PARTIES agree to enter into an Agreement.

ARTICLE 1

PURPOSE OF COOPERATION

The aim of this Agreement is to monitor the resistance status of the cabbage leaf caterpillar Plutella xylostella (L.) from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) to the insecticide Spinetoram (Endure 120 SC) and Spinetoram + Methoxyphenozide (Tenano 360 SC).

 

ARTICLE 2

SCOPE OF ACTIVITIES

 The scope of activities in this Agreement includes:

  • Monitoring the resistance of xylostella from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) and Malang and Probolinggo (East Java) to insecticides Spinetoram (Endure 120 SC) and Spinetoram + Metoxyphenozide (Tenano 360 SC) as an effort to manage insect resistance to insecticides (Insecticide Resistance Management - IRM);
  • Details of the scope of resistance monitoring as referred to in letter (1) are listed in the "Work Terms of Reference (TOR) Proposal" which will be made after this Cooperation Agreement has been approved by BOTH PARTIES.

 

ARTICLE 3

BASIS FOR IMPLEMENTING COOPERATION

Testing the resistance status of P. xylostella from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) against  Spinetoram (Endure 120 SC) and Spinetoram + Methoxyphenozide (Tenano 360 SC) insecticides as an effort to manage insecticide resistance to insecticides (Insecticide Resistance Management - IRM) as referred to in Article 1 above must be implemented in accordance with the "Proposal of Terms of Reference (TOR)" which has been agreed upon by both parties and is an integral part of this agreement.

ARTICLE 4

RIGHTS AND OBLIGATIONS OF THE PARTIES

(1). THE RIGHTS OF THE FIRST PARTY are:

Has data on the results of testing the resistance status of P. xylostella from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) to the insecticides Spinetoram (Endure 120 SC) and Spinetoram + Metoxyphenozide (Tenano 360 SC) which are the result of cooperation with the SECOND PARTY.

(2)   THE FIRST PARTY'S OBLIGATIONS are:

  1. Provide costs and facilities needed in the implementation of cooperation;
  2. insects Xylostella from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) to be used in testing;
  3. Conducted interviews with cabbage farmers in Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java), in total of 20 farmers each, to obtain information about the use of insecticides in these areas;
  4. Providing insecticides Spinetoram (Endure 120 SC) and Spinetoram + Metoxyfenozide (Tenano 360 SC) according to the testing needs;
  5. Individually or jointly with the SECOND PARTY, it is obligatory to control the implementation of cooperation activities.

 

(3)   THE RIGHTS OF THE SECOND PARTY are:

  1. Obtain information on the use of insecticides, especially Spinetoram (Endure 120 SC) and Spinetoram + Metoxyphenozide (Tenano 360 SC) by cabbage farmers in Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) and Malang and Probolinggo (East Java);
  2. Obtain test insects (xylostella) from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) and Malang and Probolinggo (East Java) according to the needs of propagation and testing;
  3. Obtain the insecticides Spinetoram (Endure 120 SC) and Spinetoram + Metoxyphenozide (Tenano 360 SC) according to the testing needs.

(4)     OBLIGATIONS OF THE SECOND PARTY are:

  1. Make a list of questions (questionnaire) in the form of google form that will be used for interviews with farmers by the FIRST PARTY;
  2. Carry out toxicity testing of the insecticide Spinetoram (Endure 120 SC) against Xylostella from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) using a method that has been approved and signed by BOTH PARTIES: IRAC No. 018 for the insecticide Spinetoram (Endure 120 SC) and IRAC method No. 007 for the insecticide Spinetoram + Methoxyphenozide (Tenano 360 SC)
  3. Appoint persons in charge and members to carry out this cooperation;
  4. Conduct data analysis from interviews with farmers and testing;
  5. Make a report of the result of the test after the implementation of this collaboration is complete;
  6. Individually or together with the FIRST PARTY, it is mandatory to control the implementation of cooperation activities.

ARTICLE 5

PERIOD OF IMPLEMENTATION.

This agreement is valid for 12 (twelve) months starting January 2, 2023 up to December 31, 2023.

 

ARTICLE 6

PLACE/ LOCATION OF ACTIVITY

Propagation of P. xylostella insects from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) and testing the toxicity of the insecticide Spinetoram (Endure 120 SC) and IRAC method No. 007 for the insecticide Spinetoram + Metoxyphenozide (Tenano 360 SC) against these insects was carried out in the screen house and Entomology laboratory at the Vegetable Crops Research Institute, Jalan Tangkuban Parahu No. 517, in Lembang, West Bandung 40391, West Java.

 

ARTICLE 7

FINANCING

THE FIRST PARTY is fully responsible for providing a fee of Rp. 35,500,000. - (thirty-five million five hundred thousand rupiah) and managing these funds for the implementation of this cooperation activity.

 

ARTICLE 8

GUIDANCE AND CONTROL

(1)  To ensure the achievement of the goals of cooperation, the FIRST PARTY and the SECOND PARTY are jointly or individually obliged to provide guidance/control over the implementation of activities;

(2)  Costs arising from the development and control activities as referred to in paragraph (1) shall be borne by the FIRST PARTY.

 

ARTICLE 9

REPORTING

  • THE SECOND PARTY makes a report on the results of the cooperation to the FIRST PARTY which is signed by both parties and known by the Head of the Research Center for Horticultural and Estate Crops, National Research and Innovation Agency;
  • THE SECOND PARTY submits a cooperation report to the FIRST PARTY no later than one (1) week after the deadline for the agreement;
  • In the event of a delay in submitting the cooperation report from the SECOND PARTY, the FIRST PARTY will remind and notify in writing to the SECOND PARTY.

Article 10

BUSINESS ETHICS

  • BOTH PARTIES must comply with all applicable laws and regulations in implementing this agreement;
  • BOTH PARTIES will not take any action that may harm the other party;
  • THE PARTIES immediately notify the other PARTIES if they find any form of violation in the implementation of this Agreement.

 

ARTICLE 11

RESULTS OF COOPERATION

The results of the collaboration are "Reports on the results of testing the resistance status of P. xylostella from Pangalengan, Garut and Lembang (West Java), Magelang (Central Java) as well as Malang and Probolinggo (East Java) against the insecticides Spinetoram (Endure 120 SC) and Spinetoram + Metoxyphenozide (Tenano 360 SC)” belong to the FIRST PARTY.

Article 12

(FORCE MAJEURE)

1). What is meant by Force Majeure is a condition whereby BOTH PARTIES cannot fulfill the implementation of this agreement due to an event that is not due to the fault of THE PARTIES, which event cannot be known and/or cannot be predicted in advance and beyond human capabilities, such as an earthquake, hurricanes, fires, floods, riots, wars (whether declared or not), sabotage, rebellions, general strikes on a national scale, economic blockades, as well as Government regulations in the economic and monetary fields;

(2)  If a Force Majeure, the PARTY affected by the Force Majeure must notify the other PARTY in writing no later than 7 (seven) calendar days after the occurrence of the Force Majeure, supported by a statement from the competent authority and if this is not done by the affected PARTY Force Majeure, then the other PARTY considers that Force Majeure;

(3) In the event of a delay due to Force Majeure, the rights and obligations of the PARTIES are suspended during the Force Majeure or based on the agreement of BOTH PARTIES and is an integral part of this Agreement;

(4)  A PARTY affected by a Force Majeure must try their best to take action to reduce the impact of a Force Majeure.

 

Article 13

SETTLEMENT OF DISPUTES

(1) If there is a dispute between BOTH PARTIES, it will be resolved by deliberation and consensus;

(2) If disputes arising between BOTH PARTIES cannot be resolved in the manner referred to in paragraph (1) then the settlement of the dispute is carried out through the National Arbitration Board (BANI) in Jakarta, and BANI's decision is legally binding for BOTH PARTIES.

Article 14

TAX AND STATE DUTY

(1)  The taxes that arise as a result of the implementation of this Agreement follow the provisions of the applicable tax regulations;

(2)  Stamp Duty arising as a result of this Agreement shall be the burden and responsibility of THE PARTIES.

 

 

Article 15

MISCELLANEOUS

(1) For matters that have not been regulated in this Agreement, BOTH PARTIES agree to regulate in an addendum/amendment which is an integral part of this Agreement;

(2) Thus, this Agreement was made and signed by BOTH PARTIES on the day, date, month and year as mentioned at the beginning of this Agreement made in 2 (two) copies with sufficient stamp duty, each of which has the same legal force, as well as several copies without stamp duty in accordance with needs.
