CHAPTER 69A CORPORATE AFFAIRS AND INTELLECTUAL PROPERTY OFFICE ACT

An Act to establish the Corporate Affairs and Intellectual Property Office. [Act No. 19 of 2009.]

[By Proclamation]

1. Short title and commencement

(1) This Act may be cited as the Corporate Affairs and Intellectual Property Office Act.

(2) This Act shall come into effect on a day to be fixed by the Governor-General by his Proclamation.

2. Interpretation

In this Act—

“Deputy Registrar” means the Deputy Registrar of the Corporate Affairs and Intellectual Property Office;

“intellectual property” has the meaning assigned to it by Article 2 of the Convention establishing the World Intellectual Property Organisation signed at Stockholm on 14th July, 1967 and includes rights relating to—

(a) literary, artistic and scientific works;

(b) performances of performing artistes, phonograms and broadcasts;

(c) investors in all fields of human endeavour;

(d) scientific discoveries;

(e)

industrial design;

(f) trademark, service marks and commercial marks and designation;

(g) protection against unfair competition; and all other rights resulting from Intellectual activities in the industrial, scientific, literary or artistic fields;

“Registrar” means the Registrar of the Corporate Affairs and Intellectual Property Office.

3. Establishment of Corporate Affairs and Intellectual and Property Office

(1) There is hereby established the Corporate Affairs and Intellectual Property Office.

(2) The Registrar shall be responsible for the administration of the Corporate Affairs and Intellectual Property Office and may be assisted by the Deputy Registrar and such other officers as are necessary for the purpose of carrying out the functions of the Registrar under this Act and under any other enactment vesting duties and responsibilities in the Registrar.

4. Functions of the Registrar

(1) The functions of the Registrar are those assigned to the Registrar under the—

(a) Companies Act, Chapter 58A;

(b) the Acts specified in the Schedule; and

(c) any other enactment not specifically mentioned under paragraphs (a) and (b) which vests duties and responsibilities on the Registrar.

(2) The Registrar and the Deputy Registrar shall have such rights and discharge such duties of the office of Notary Public as are necessary for the purpose of carrying out the functions referred to under subsection (1).
