This Memorandum of Understanding (MOU) sets forth a framework for cooperation in Agricultural Research and Development between the Indonesian Agency for Agriculture Research and Development (IAARD) with its principal office in Jakarta, Republic of Indonesia and the Chinese Academy of Agricultural Sciences (CAAS) with its principal office in Beijing, People's Republic of China. IAARD and CAAS are each referred as Party, jointly referred as Parties hereinafter.

WHEREAS the IAARD is committed to produce and develop technological innovations and policy recommendations in the agricultural sector in supporting the realization of the industrial agriculture system, improving the quality of agricultural research resources as well as the efficiency and effectiveness of their uses, developing national and international networks to master science and technologies and improving the role of IAARD in agricultural development.

WHEREAS CAAS engaged in applied agricultural research, basic research and high and new technology research, and has been playing an important role in solving the sci-tech issues with general, directional and critical importance in China's agricultural and rural development as well as in training of high-level agricultural research professionals and promoting international exchange and cooperation in agricultural science and technology.

WHEREAS both parties have the common goals in ensuring food security, food safety and sustainable development in agriculture in both countries;

WHEREAS both parties share the common aspiration to build a stronger partnership and strengthen the cooperation in agricultural science and technology for development, primarily in the researches of food and horticultural crops, vegetables and livestock, crop and animal breeding, biotechnology;

Pursuant to the prevailing laws and regulations, as well as the procedures and policy of the Government of the Republic of Indonesia and the People's Republic of China concerning international technical cooperation,

HAVE AGREED to the terms stated under this Memorandum of

Understanding (hereinafter referred to as "MoU") AS FOLLOWS:

ARTICLE I

OBJECTIVES

The objectives of the cooperation are to enhance mutual learning, cooperation and scientific exchange between the two parties so as to strengthen and enlarge capacities of research, innovation, training and management of technology in the field of agriculture.

AREAS OF COLLABORATION

1 .                          The areas of collaborative activities under this Memorandum of

Understanding shall include:

1. exchange of technical staff and researchers;
2. joint research activities;
3. participation in seminars and scientific and technical meeting;
4. exchange of publication and any other information;
5. short-term special research programs, projects, or training activities;
6. joint use of equipment and instrument owned or to be acquired by the Parties, if necessary, as provided for in the Specific Agreement set forth within the framework of this Memorandum of Understanding;
7. another form of technical cooperation in the field of agriculture to be mutually agreed upon by the Parties.
8. The scale of collaboration will be determined from time to time by a joint evaluation team of the Parties.

ARTICLE Ill

MATERIAL TRANSFER AGREEMENT

In case the transfer of research materials is required for collaboration activities to be carried out within this MOU, such research materials shall be transferred using material transfer agreement (MTA) that would carefully describes the material. Further, the transfer of biological materials, including breeding materials and germplasm, will be subject to pertinent biosafety and bioprospecting policies, laws, rules, and regulations of the Parties. The Parties may allow to use such materials only for non-commercial research and/or education, and will give full credit to the source of the materials.

IV

PROTECTION OF INTELLECTUAL PROPERTY RIGHTS

1 . Any intellectual property brought by one Party for the implementation of this MOU shall remain the property of that Party.

2. Any intellectual property rights resulted from activities under this MOU shall be jointly owned and subject to separate and specific arrangement concluded between the Parties.

ARTICLE V

PUBLICATION

1 . The results of scientific research under this MOU shall be reported to the Government of Indonesia prior to joint publishing by Indonesian scientists and CAAS scientists working under this collaboration; and

2. The personnel involved under this collaboration shall not disclose or publish any program information or result of scientific research under this

MOU without the prior written approval of both Parties.

ARTICLE VI

LIMITATION OF PERSONNEL ACTIVITIES

1 . Both Parties assure that its personnel involved in the activities under this Memorandum of Understanding shall respect and not interfere with the political independence, sovereignty, and territorial integrity of the other Party, and avoid any activities inconsistent with the purpose and objectives of this

Memorandum of Understanding;

2. Both Parties shall take reasonable precautions to ensure that its personnel have due regard for respective local traditions and customs of the other Party.

SETTLEMENT OF DIFFERENCES

Any differences or disputes between the Parties related to interpretation and implementation of this Memorandum of Understanding shall be settled amicably through consultation and negotiation between the Parties.

ARTICLE Vill

AMENDMENT

This Memorandum of Understanding can be reviewed or amended at any time by mutual written consent by the Parties. Such revisions or amendments shall enter into force on such date as determined by the Parties and shall form an integral part of this Memorandum of Understanding.

ARTICLE IX

ENTRY INTO FORCE, DURATION, AND TERMINATION

1 . This Memorandum of Understanding shall enter into force on the date of its signing and shall remain valid for five (5) years and will be extended for the same period of five (5) years;

2. This Memorandum of Understanding may be terminated by either Party by giving written notice to the other Party at least six (6) months in advance;
3. Either Party may terminate this Memorandum of Understanding or any program and project in pursuance thereof in case the other Party's personnel or expert violates any agreed conditions for ' the implementation of activities, programs, or projects under this

Memorandum of Understanding; and

4. The termination of this Memorandum of Understanding shall not affect the validity and duration of any on-going activities or projects made under this Memorandum of Understanding until the completion of such activities or projects, unless the Parties decide otherwise.

IN WITNESS WHEREOF, the undersigned have signed this Memorandum of Understanding.

DONE in duplicate at on this 30 day of November in the year Two Thousand and Seventeen in English, Indonesia and Chinese language. All text being equally authentic. In case of divergence of interpretation, the English text shall prevail. Each signatory retains an original copy.
