In order to promote the mutual interests between UNIVERSITI TEKNIKAL MARA SDN. BHD. [Company No.: 200201002469 (570132-T)], a company incorporated in Malaysia under the Companies Act 1965, for the purpose of managing UNIVERSITI KUALA LUMPUR, an institution of higher learning established and registered in Malaysia under the Private Higher Educational Institutions Act 1996 (Registration No. DU011 (W) and having its Chancellery address at 1016, Jalan Sultan Ismail, 50250 Kuala Lumpur, Malaysia (hereinafter referred to as “UniKL”) and INDONESIAN AGENCY FOR AGRICULTURE RESEARCH AND DEVELOPMENT OF THE MINISTRY OF AGRICULTURE, REPUBLIC OF INDONESIA, a company incorporated in Indonesia and having its address at Jl. Ragunan 29 Pasar Minggu Jakarta Selatan 12540, Indonesia (hereinafter referred to as “IAARD”).

UniKL and IAARD, agree to exercise their best efforts to explore the possibility of future cooperation in the following area:

a. Exchange of expertise, improved technology, scientific, technical information and study/observations tour;
b. Promotion of production and utilization in bio-industrial potential in agriculture;
c. Conduct seminar, conference, training in term of academic and educational program activities;
d. Exploring the potential of sugarcane, fiber crops and industrial oil crops and its application for the beneficial to community;
e. Joint research grant application, paper publication, thesis supervision and other knowledge transfer related for both institutions;
f. Another form of technical cooperation in the field of agriculture to be mutually agreed upon by the Parties;
g. The scale of collaboration will be determined from time to time by a joint evaluation team of the Party;
h. Other potential collaboration activities that benefit both institutions in the areas of agricultural research, training and development, academic and educational.
hereinafter collectively referred to as the “Cooperation”).

Both parties understand that any financial arrangements with regard to the Cooperation will depend on the availability of funds, to be negotiated and agreed by both parties.
Details for the implementation of specific projects and the relevant terms thereof will be mutually developed and agreed by the parties in writing.

Further to the parties’ intention as contemplated by this Letter of Intent and in the event where both parties wish to establish a formal cooperation or collaboration programs or business ventures, both parties shall enter into a Memorandum of Agreement (MOA). In the case where the MOA is not signed, this Letter of Intent is only valid for two (2) years upon the date of the signing. Either Party may terminate or withdraw from this Letter of Intent by serving the other Party a 30 days advance written notice.

Any other programs should be identified and agreed upon by all the parties from time to time. This Letter of Intent is not to be regarded as a contract between UniKL and IAARD.

Any confidential information which is disclosed and exchanged during discussions shall be kept confidential by both parties. Confidential information are written materials which is marked with confidential or expressly designated as confidential prior to any discussions.

The undersigned being duly authorized thereto, have signed this Letter of Intent, on this ____ day of April 2021.
